Course overview
Commercial managers are expected to protect margin, maintain supplier and customer relationships, and ensure contracts support operational delivery long after signature. In practice, this means controlling obligations, approvals, changes, notices, risks, and performance data across contracts that may involve multiple business units and external parties. Weak governance creates avoidable value leakage: unapproved scope changes, missed notice dates, inconsistent records, disputed invoices, unmanaged subcontractor exposure, and senior decisions made without reliable contract intelligence.
This course equips participants to establish and run practical contract governance throughout the contract lifecycle. Participants learn to translate key clauses into obligation registers, RACI matrices, approval authorities, risk controls, change-control workflows, notice calendars, and performance dashboards. The programme covers governance design, contract administration, supplier and customer performance management, claims prevention, documentation discipline, escalation routes, and close-out controls. It also explains how to use contract management platforms and structured reporting to give leaders a clear view of commercial exposure and delivery status.
Teaching combines instructor-led explanation with realistic commercial scenarios, clause-to-control analysis, register-building workshops, and facilitated governance reviews. Participants work from a contract case file to build a usable governance pack: a contract summary, obligations and notice register, governance calendar, responsibility matrix, change log, risk-and-issue log, and management dashboard specification. This deliverable can be adapted for a live contract portfolio immediately after the programme.

Requirements and prerequisites
Participants should have basic workplace exposure to commercial agreements, supplier or customer management, project delivery, procurement, or contract administration. They should be able to read a contract schedule, identify parties and dates, and work confidently with Word, Excel, and routine business reporting. Familiarity with terms such as scope, deliverable, KPI, variation, invoice, and risk is helpful, but legal training is not required. This is a foundation-to-intermediate course: complete beginners can attend, but should expect to spend time learning core contract-lifecycle language before applying governance tools to the case material.
Training methodology
The programme uses short instructor-led modules to establish each governance control, followed by applied work on a realistic contract case file. Participants extract obligations from clauses, populate Excel-based registers, map approvals in a RACI, assess a change request, draft a notice strategy, and run a simulated governance review. Small-group discussions compare responses to supplier underperformance and customer-led scope change. Each day adds components to an individual governance pack, ending with an application plan for a current contract or contract portfolio.

- RACI matrices and delegated authority thresholds for commercial decisions
Workshop: Participants analyse a contract extract and produce a one-page contract summary with an initial RACI and governance-forum map.
Day 2: Obligations, notices, records, and compliance controls
- Obligation registers for deliverables, dependencies, acceptance, and evidence
- Notice clauses, time bars, service addresses, and notice calendars
- Document-control rules for correspondence, meeting minutes, and version history
- Compliance monitoring for insurance, certifications, policies, and flow-down obligations
- Milestone and acceptance management using evidence-based completion records
- Data structures for contract repositories and contract management systems
- Exception reporting for overdue obligations and missed governance actions
Workshop: Participants build an obligations and notice register from the case file, including owners, due dates, evidence requirements, and escalation triggers.
Day 3: Change control, risk, and claims prevention
- Sources of contract change: scope, schedule, volume, price, and regulatory events
- Change request intake, impact assessment, and approval workflow design
- Commercial assessment of cost, time, risk, and downstream consequences
- Variation logs and configuration control for revised deliverables

Workshop: Participants assess a disputed scope-change scenario and produce a change request, impact summary, approval route, and risk response.
Day 4: Performance management and commercial assurance
