Course overview
In-house counsel are expected to move commercial agreements quickly while preventing unmanaged commitments from entering the business. The difficult work is rarely finding a clause in isolation; it is deciding which risks require legal escalation, what can be accepted within a playbook, how obligations will be owned after signature, and how to evidence those decisions. Weak intake, inconsistent redlining, undocumented deviations and disconnected contract repositories can create revenue leakage, regulatory exposure, missed renewals and disputes that legal teams are later asked to resolve.
This five-day course develops a practical control framework for the full contract lifecycle. Participants learn to translate business requirements into risk-ranked contract positions; build clause playbooks and approval matrices; assess liability, indemnity, limitation of liability, insurance, data protection, intellectual property, service-level and termination provisions; and negotiate departures without losing sight of operational delivery. They apply risk scoring, issue logs, fallback language, delegated authority controls, obligation registers, renewal calendars and post-signature monitoring methods. The course also addresses how legal should work with procurement, sales, finance, privacy, security and contract operations teams.
Delivery combines instructor-led legal-commercial analysis with realistic contract packs, redline reviews, negotiation simulations and control-design workshops. Participants work through supplier and customer agreement scenarios, document decision rationales, and test how a clause deviation moves through review, approval, signature and operational handover. Each participant leaves with a tailored Contract Risk Control Pack: a risk taxonomy, clause playbook structure, escalation matrix, approval workflow, contract review checklist and obligations-tracking template ready to adapt to their organisation.
The programme is designed for practising in-house lawyers and legal operations professionals who already review or support commercial agreements and now need a repeatable, defensible method for controlling contractual risk at scale.

Requirements and prerequisites
Participants should have practical experience reviewing, negotiating or administering commercial contracts, such as supplier agreements, customer terms, SaaS agreements, statements of work or NDAs. They should understand core contract concepts including offer and acceptance, liability, indemnity, confidentiality, termination and governing law, and be comfortable reading tracked changes in Microsoft Word and using basic Excel tables. Familiarity with an internal approval process or contract repository is useful. This is not a contract-law foundation course, and no specialist certification, coding ability, CLM implementation experience or prior use of DocuSign CLM is required.
Training methodology
The instructor uses short, focused teaching blocks followed by hands-on work with contract extracts, approval scenarios and operational handover documents. Participants redline clauses in Microsoft Word, score risks in Excel, build escalation decisions from a delegated-authority model and practise stakeholder conversations where commercial urgency conflicts with legal controls. Small groups compare alternative negotiation positions and defend their recommendations against a realistic risk appetite. The final day is an implementation workshop in which each participant assembles and peer-tests a Contract Risk Control Pack for their own legal environment.

Day 1: Contract risk architecture and legal intake controls

Workshop: Participants convert a poorly defined contract request into a completed intake record, stakeholder map and prioritised risk scorecard.
Day 2: Clause controls and negotiation positions
- Clause playbook architecture: preferred, acceptable and prohibited positions
- Limitation-of-liability structures including caps, carve-outs and exclusions
- Indemnity trigger analysis, defence control and third-party claim allocation
- Insurance requirements matched to contractual exposure and supplier risk
- Intellectual property ownership, licensing scope and infringement provisions
- Confidentiality, data protection and information-security contractual controls
- Fallback language and negotiation levers for common commercial objections

Day 3: Approval governance and exception management

Workshop: Participants design an approval route for a high-value SaaS agreement and draft the associated risk acceptance record.
Day 4: Post-signature obligation and performance controls
