Course overview
NGO boards and senior teams operate under heightened scrutiny from regulators, donors, beneficiaries, funders and the public. Weak trustee oversight, undocumented conflicts, unclear delegations, restricted-fund errors or late regulatory filings can expose a charity to enforcement action, funding loss and reputational damage. This course addresses the practical challenge of building governance arrangements that satisfy legal duties while enabling timely, mission-focused decisions.
Participants examine the legal and governance framework that governs charities and NGOs, including trustee duties, governing documents, board authority, conflicts of interest, financial stewardship, safeguarding oversight, regulatory reporting and risk management. They learn to interpret constitutional provisions, map statutory and regulator obligations, structure board papers, maintain decision records, test compliance controls and respond proportionately to governance incidents. Particular attention is given to distinguishing board responsibilities from executive management responsibilities.
Teaching combines instructor-led legal briefings with realistic board scenarios, document reviews and compliance workshops. Participants work with trustee guidance, conflict registers, delegation schedules, risk registers and regulator-reporting checklists. By the end of the week, each participant produces an NGO Governance and Charity Law Compliance Action Plan containing a prioritised legal-obligations map, governance gap assessment, evidence requirements, ownership assignments and a 90-day implementation schedule that can be adapted for their organisation.

Requirements and prerequisites
Participants should have practical experience in an NGO, charity, foundation or social-purpose organisation and a working understanding of how their board, executive team and finance function operate. Familiarity with basic concepts such as trustees, governing documents, annual reports, restricted funds, risk registers and board minutes is assumed. Participants should bring, where permitted, a redacted constitution, board terms of reference or current governance issue to use in workshops. No law degree, formal legal qualification or prior use of specialist governance software is required; legal principles are applied through structured templates and cases.
Training methodology
The programme uses short instructor-led legal briefings followed by applied governance work. Participants review a simulated charity constitution, board pack, conflicts register, finance report and regulator correspondence to identify defects and recommend defensible actions. Small groups conduct a board-effectiveness review, resolve a related-party conflict scenario and redesign a delegation schedule. Facilitated discussions compare trustee challenge with executive accountability. Each day adds evidence to the participant’s final Governance and Charity Law Compliance Action Plan, which is peer-reviewed on day five.

Day 1: Charity legal status, purpose and trustee accountability
- Charitable purpose, public benefit and mission-lock requirements
- Legal forms for NGOs: trusts, companies, associations and incorporated charities
- Reading governing documents: objects, powers, amendment clauses and dissolution provisions
- Trustee fiduciary duties, collective responsibility and standards of care
- Board authority versus executive management authority
- Regulator powers, interventions and the consequences of non-compliance
- Building a jurisdictional legal-obligations map and compliance calendar
Workshop: Participants analyse a redacted governing document and produce an obligations map identifying board powers, prohibited actions and annual compliance deadlines.
Day 2: Board architecture, decisions and conflicts
- Board composition, skills matrices, appointment and induction controls
- Terms of reference for boards, committees and advisory groups
- Agenda design and board-paper standards for legally defensible decisions
- Minute-writing methods that evidence challenge, rationale and resolutions
- Conflicts-of-interest identification, declaration, recusal and recording procedures
- Related-party transactions, connected persons and benefit-to-trustee restrictions
- Delegations of authority, reserved matters and emergency decision protocols
Workshop: Participants run a simulated board meeting involving a conflicted trustee and produce corrected minutes, a recusal record and a revised delegation schedule.
Day 3: Financial stewardship and regulatory reporting

Day 4: Risk, safeguarding and operational compliance oversight
