Course overview
Traditional outsourcing contracts often lock both parties into detailed inputs, transaction volumes and service-level penalties, then rely on escalations when operating conditions change. Contract managers, procurement leads and service owners need a governance model that protects commercial discipline while giving suppliers room to improve outcomes. This course addresses the practical challenge of moving from oversight-heavy supplier management to a Vested Outsourcing arrangement built around shared business results, transparent performance and a mutually beneficial commercial relationship.
Participants learn how to apply the Vested Outsourcing 5 Rules to contract design and post-award governance: focus on outcomes rather than transactions; define the “what” rather than prescribe the “how”; establish agreed performance measures; use insight instead of excessive oversight; and create a Vested mindset. The course covers outcome-based statements of work, relational governance structures, KPI hierarchies, gainshare and painshare mechanisms, pricing models, governance charters, issue escalation, and joint innovation management. Participants practise translating operational requirements into measurable business outcomes and defensible contract clauses.
Teaching combines instructor-led analysis with a sustained outsourcing case study covering a complex business-process and operations services contract. Teams review a conventional SLA-led agreement, identify behaviours it creates, redesign it using Vested principles, and test governance decisions against changing demand, service failures and improvement opportunities. Each participant leaves with a practical Vested Contract Governance Playbook containing an outcome map, KPI scorecard, governance cadence, decision-rights matrix, escalation path and implementation plan for a live or prospective supplier relationship.

Requirements and prerequisites
Participants should have practical exposure to outsourced or managed-service contracts, supplier performance reviews, procurement, operations management or commercial negotiations. They should understand the basic purpose of a statement of work, service-level agreement, KPI, change control and contract escalation process. Experience of a live supplier relationship is strongly recommended because exercises require participants to assess trade-offs between operational control, commercial risk and supplier autonomy. No prior Vested Outsourcing training, legal qualification, financial modelling certification or specialist contract-management software is required. Participants do not need to bring an active contract, although a sanitised example will help them apply the methods immediately.
Training methodology
The programme uses short instructor-led briefings to introduce each Vested rule, followed by contract-clause reviews, KPI design clinics and facilitated governance simulations. Working in teams, participants redesign a conventional outsourcing arrangement with fragmented SLAs, escalating service issues and limited supplier innovation. They use outcome maps, governance-charter templates, RACI-style decision matrices and risk-reward models to make specific contract and operating choices. Daily peer reviews test whether proposed controls create insight or unnecessary oversight. The final session converts the case learning into an individual application plan and Vested Contract Governance Playbook.
