Course overview
Chief executive officers are accountable for enterprise performance while operating within authority delegated by the board. That requires more than understanding governance principles: CEOs must know where management authority ends, how to provide directors with decision-useful information, when to escalate material matters, and how to protect the integrity of reporting, risk oversight and stakeholder commitments. Weak CEO-board protocols can create delayed disclosures, unmanaged conflicts, poor challenge of strategy, regulatory exposure and avoidable loss of investor confidence.
This course examines corporate governance from the CEO’s operating position. Participants work through board mandates, reserved matters, delegation-of-authority matrices, committee reporting, executive succession, related-party transactions, whistleblowing, internal controls and crisis governance. They learn to design board papers that support informed decisions, structure CEO reporting against strategic and risk indicators, prepare for difficult board challenge, apply the G20/OECD Principles of Corporate Governance, and connect governance requirements to day-to-day executive decisions.
Instructor-led sessions use governance failures, boardroom simulations and practical document reviews rather than abstract legal theory. Participants assess a realistic governance scenario, identify decision rights and control gaps, and practise presenting a material issue to a mock board committee. They leave with a CEO Governance Action Plan containing a board-management operating model, reporting calendar, reserved-matters map, escalation triggers and a 90-day implementation roadmap that can be adapted for their organisation.
The programme is designed for serving and incoming CEOs, managing directors and business-unit leaders moving into enterprise executive roles. It is particularly valuable where boards are strengthening oversight, preparing for growth or transaction activity, responding to regulatory scrutiny, or seeking clearer management accountability.

Requirements and prerequisites
Participants should have experience leading a function, business unit or enterprise and should be familiar with basic financial statements, annual operating plans, enterprise risks and executive decision-making. The course assumes that participants have attended board meetings, prepared senior-management reports or worked with directors, shareholders, regulators or auditors in some capacity. Familiarity with terms such as fiduciary duty, internal control, materiality and delegation of authority is helpful but will be refreshed. No legal qualification, accounting designation, governance certification or prior use of board portal software is required. Participants should bring a current organisational governance challenge where possible.
Training methodology
The programme combines focused instructor-led briefings with boardroom cases, document clinics and facilitated peer challenge. Participants analyse governance charters, delegation matrices, risk reports and sample board papers drawn from listed, private and regulated organisations. In small groups, they role-play CEO, chair and committee interactions around a material incident, strategic investment and control failure. Each day includes applied work on the participant’s own governance context. The final workshop converts course outputs into a prioritised 90-day CEO Governance Action Plan for discussion with the board or executive team.
