Course overview

ESG and sustainability directors are increasingly required to turn broad commitments into board-governed decisions, defensible disclosures, accountable targets and reliable management information. The challenge is not simply understanding sustainability issues; it is establishing who owns each decision, how climate, human capital and supply-chain risks enter enterprise risk management, and what evidence the board needs before approving statements, investments or transition plans. Weak governance can expose organisations to greenwashing claims, reporting errors, investor challenge and poorly controlled sustainability programmes.

This five-day course shows participants how to design and operate governance arrangements for ESG and sustainability at board, committee and executive levels. Participants work with board mandates, committee terms of reference, RACI matrices, materiality assessment governance, ESG risk registers, control matrices, escalation routes and assurance plans. They learn to connect governance requirements in the GRI Standards, ISSB IFRS S1 and IFRS S2, and ESRS to practical reporting ownership, data controls and board reporting. The course also addresses director duties, stakeholder accountability, remuneration links, policy approval and oversight of transition-plan delivery.

Teaching combines instructor-led analysis with governance case studies, document reviews and facilitated workshops. Participants critique sample board packs, identify control gaps in an ESG reporting process, and rehearse how to present an emerging sustainability risk to a board committee. Each participant leaves with an ESG Governance Action Pack: a tailored governance map, draft RACI, committee reporting template, priority control register and 90-day implementation plan that can be adapted for their organisation.

The programme is suited to professionals building or strengthening ESG governance in listed companies, private businesses, public bodies and regulated organisations. It is equally valuable where the sustainability function must secure clearer authority, stronger cross-functional cooperation and more effective board challenge.

Course objectives

By the end of this course, participants will be able to:

  • Map board, committee and executive accountability for ESG decisions using a governance operating model
  • Draft ESG committee terms of reference that define mandate, membership, decision rights and reporting cadence
  • Build a RACI matrix for sustainability strategy, data ownership, disclosure approval and risk escalation
  • Translate double materiality findings into board priorities, management actions and disclosure governance
  • Design an ESG risk register linked to enterprise risk management categories, controls and risk owners
  • Create a board ESG dashboard with decision-useful KPIs, thresholds, trend commentary and assurance status
  • Assess ESG reporting controls using a control matrix for data lineage, review evidence and sign-off
  • Produce a 90-day ESG governance implementation plan with owners, milestones and committee actions

Benefits of attending

Who should attend

  • ESG Directors — who need to establish credible board oversight, decision rights and reporting accountability
  • Sustainability Directors — who must convert sustainability strategy into governed executive and board action
  • Heads of ESG Reporting — who need clear disclosure ownership, data controls and approval workflows
  • Corporate Governance Managers — who support board committees and must integrate ESG into governance architecture
  • Risk and Compliance Leaders — who are embedding climate, social and conduct risks within enterprise controls
  • Company Secretaries — who advise boards on committee mandates, agendas, minutes and director accountability

Requirements and prerequisites

Participants should have a working familiarity with their organisation’s sustainability strategy, annual reporting cycle, governance structure and principal risk process. Experience preparing ESG reports, board papers, risk updates or policy documents is useful, but not essential. Participants should be able to read a basic ESG KPI table and understand terms such as materiality, stakeholder, risk owner and assurance. No legal qualification, accounting designation, specialist climate-science knowledge or prior use of ESG reporting software is required. Complete beginners can attend, but should expect to spend time applying new governance terminology to their own organisation.

Training methodology

The course uses short instructor-led briefings to establish governance principles, followed by document-based workshops using board mandates, risk registers, reporting calendars and sample ESG disclosures. Participants work in groups to diagnose governance failures in realistic cases, including an unsubstantiated climate claim and a late-discovered data-control weakness. Facilitated peer review tests proposed RACI assignments and committee reporting packs against stakeholder challenge. On day five, participants convert the course tools into a prioritised governance action plan for their own organisation.

Frequently asked questions

No formal reporting experience is required, although familiarity with your organisation’s sustainability priorities and reporting process will help. The course explains the governance implications of GRI, ISSB and ESRS rather than assuming participants can already prepare a full disclosure.

A laptop is recommended for completing the governance map, RACI and action-plan templates. Participants may bring non-confidential versions of committee terms of reference, ESG reports or risk registers, but this is not required.

No. It is designed primarily for ESG and sustainability directors, alongside governance, reporting, risk, compliance and company secretariat professionals who support board oversight. It focuses on creating the information, controls and decision routes that enable boards to govern effectively.

Reporting courses concentrate on disclosure requirements and data preparation, while strategy courses focus on priorities and programmes. This course focuses on accountability: who decides, who provides evidence, how issues are escalated, and how the board obtains assurance.

The templates are designed for direct adaptation to committee structures, reporting calendars and existing risk processes. Participants leave with a prioritised 90-day plan that identifies governance gaps, accountable owners and practical next actions.

You will leave with an ESG Governance Action Pack containing a governance map, draft RACI, committee reporting template, risk-and-control priorities and implementation plan. These outputs are developed against a realistic case and tailored during the course to your organisation’s context.
