Course overview

Board members and senior leaders are expected to make sound decisions on strategy, risk, executive oversight and stakeholder accountability, often with incomplete information and limited time. Weak governance can lead to unclear decision rights, unmanaged conflicts of interest, ineffective challenge of management, inadequate risk escalation and poor-quality board records. This course gives participants a practical foundation for fulfilling governance responsibilities with greater discipline, independence and confidence.

The programme examines the purpose and architecture of corporate governance, including board composition, fiduciary duties, committee mandates, board-management boundaries, delegated authorities, ethics, risk oversight, internal control and disclosure. Participants learn to interpret a board charter, evaluate terms of reference, use a decision-rights matrix, identify conflicts of interest, challenge management reports, review risk registers and assess the quality of board papers and meeting minutes. Reference is made to the OECD Principles of Corporate Governance, the UK Corporate Governance Code and COSO internal-control guidance.

Instruction combines facilitated teaching with governance case studies, board-paper reviews, committee simulations and structured peer challenge. Participants work through realistic scenarios involving a related-party transaction, a deteriorating risk profile, an executive succession decision and a governance failure. Each participant leaves with a Board Governance Action Plan containing a governance diagnostic, priority improvement actions, a committee and decision-rights review, and practical questions to take into future board meetings.

Day 2: Board processes, decisions and committee effectiveness

Day 3: Risk, internal control and assurance oversight
