Course overview
Executive Directors are accountable for translating a board’s governance responsibilities into working systems without taking over the board’s role. In NGOs, this means managing the tension between mission urgency, donor restrictions, safeguarding duties, regulatory compliance, and the need for timely operational decisions. Weak delegation, unclear board reporting, unmanaged conflicts of interest, or informal risk oversight can expose an organisation to funding loss, reputational damage, regulatory action, and harm to communities.
This five-day course equips Executive Directors to build a disciplined governance relationship with trustees, board chairs, committees, and senior managers. Participants learn how to define board and management accountabilities, prepare decision-ready board papers, structure delegations of authority, maintain registers for conflicts and risks, support effective committee oversight, and report on finance, programmes, safeguarding, and organisational performance. The course also addresses governance during growth, emergency response, leadership transition, investigations, and serious incident escalation.
Participants work with practical NGO governance tools rather than abstract governance theory. They analyse board terms of reference, delegation matrices, committee structures, risk registers, conflict-of-interest declarations, and dashboard templates. Each participant leaves with an Executive Director Governance Action Pack: a 90-day improvement plan, a board reporting template, an authority-delegation review, and priority actions for strengthening their organisation’s governance controls.
The course is designed for current and newly appointed Executive Directors, Country Directors, and senior NGO leaders who work directly with governing boards. It is especially valuable for leaders in development, humanitarian, advocacy, protection, and community-based organisations that need stronger accountability while preserving operational agility.

Requirements and prerequisites
Participants should have experience working in, or closely with, an NGO, charity, foundation, social enterprise, or humanitarian organisation. Familiarity with a governing board, trustees, management meetings, annual budgets, donor reporting, and basic organisational policies will help participants apply the exercises quickly. Participants should be able to read management reports and discuss organisational risks, but legal training, prior board membership, accounting qualifications, or governance certification are not required. This is suitable for newly appointed Executive Directors; complete beginners should expect to learn core governance vocabulary before applying it to realistic executive-level decisions.
Training methodology
The course combines instructor-led governance briefings with hands-on work using NGO board documents and realistic leadership scenarios. Participants review anonymised board packs, identify gaps in delegation and assurance, and practise presenting difficult decisions to a simulated board chair and committee. Small-group case work covers safeguarding escalation, donor-restricted funding, conflicts of interest, and emergency response decisions. Daily exercises produce components of an individual Governance Action Pack, culminating in a peer-reviewed 90-day implementation plan tailored to each participant’s organisation.

Day 1: Governance roles, accountability and board relationships
- Purpose of NGO governance in development and humanitarian organisations
- Legal duties, fiduciary oversight, and mission accountability
- Board, chair, committee, and Executive Director role boundaries
- Governance versus management decision tests
- Board composition, independence, skills, and lived-experience perspectives
- Board terms of reference and committee mandates
- Annual governance calendars and decision cycles
Workshop: Participants map their current board-management responsibilities and produce a governance gap map identifying overlapping, missing, and unclear accountabilities.
Day 2: Delegation, policy control and decision authority
- Delegation of authority principles and control points
- Financial approval thresholds and restricted-fund decisions
- Programme, partnership, procurement, and people delegations
- Emergency decision authority and retrospective board reporting
- Reserved matters for boards and committees
- Policy hierarchy, approval ownership, and review schedules
- Documenting resolutions, decisions, and action ownership
Workshop: Participants build a draft delegation of authority matrix for a case NGO covering expenditure, partnerships, staffing, safeguarding, and emergency operations.
Day 3: Board reporting, assurance and strategic oversight
- Decision-ready board paper structure and recommendation writing
- Strategic dashboards for programme, financial, and organisational performance
- Risk appetite statements and board-level risk registers
- Financial oversight indicators including reserves, liquidity, and budget variance
- Programme quality, beneficiary feedback, and outcome assurance
- Safeguarding, fraud, whistleblowing, and serious incident reporting
- Committee reporting for audit, risk, finance, and programmes
Workshop: Participants convert an unfocused management report into a concise board paper and dashboard with decisions, indicators, risks, and required trustee action.
Day 4: Ethics, compliance and high-risk governance decisions
- Conflict-of-interest declarations, recusals, and register management
- Related-party transactions and trustee benefit controls
- Anti-bribery, anti-corruption, and fraud governance oversight
- Safeguarding governance and survivor-centred escalation
- Whistleblowing channels, investigation independence, and board notification
- Donor compliance, sanctions, and partner due diligence oversight
- Governance during crisis, reputational challenge, and leadership transition
Workshop: Working through a safeguarding and procurement conflict case, participants produce an escalation memo, conflict-management record, and board notification recommendation.
Day 5: Governance improvement and executive implementation
