Course overview
State-owned enterprises operate under a governance mandate that is more complex than that of private companies: they must protect public value, meet commercial and policy objectives, withstand political scrutiny, and maintain clear accountability to the state as owner. Board members and senior executives must make defensible decisions where ownership policy, ministerial expectations, financial performance, public procurement, risk, and stakeholder interests can conflict. Weak role definition, informal shareholder intervention, incomplete reporting, and poorly controlled related-party transactions can quickly become audit findings, service failures, or reputational crises.
This course equips participants to design and operate governance arrangements suited to state-owned enterprises. Participants examine the state ownership function, board and executive accountabilities, board committee mandates, delegation of authority, performance agreements, public-interest objectives, risk oversight, internal control, ethics, disclosure, and stakeholder engagement. They apply the OECD Guidelines on Corporate Governance of State-Owned Enterprises, G20/OECD Principles, COSO ERM, board evaluation methods, and governance reporting tools to real SOE decisions.
Instruction combines expert-led analysis, boardroom simulations, case studies, document reviews, and facilitated peer challenge. Participants work with practical governance artefacts including a board charter, committee terms of reference, authority matrix, annual board calendar, risk dashboard, and shareholder reporting template. By the end of the week, each participant leaves with a tailored SOE Governance Improvement Action Plan that identifies priority gaps, accountable owners, implementation milestones, and measures of progress.
The course is designed for experienced managers, board secretaries, governance specialists, internal auditors, senior risk professionals, and public-sector officials responsible for governing, monitoring, or advising commercial state entities.

Requirements and prerequisites

Experience reading board papers, annual reports, or policy directives is useful. Participants should bring a laptop for document-based workshops and, where permitted, a non-confidential governance document from their organisation. Legal training, prior board service, specialist accounting qualifications, and governance software experience are not required.
Training methodology
The programme uses short instructor-led briefings to establish governance principles, followed by document-based workshops using realistic SOE board papers, ownership directives, risk reports, and committee mandates. Participants diagnose governance failures in regional and international SOE cases, test decisions through boardroom simulations, and compare solutions in facilitated groups. Each day closes with a practical output that feeds into an individual Governance Improvement Action Plan. The instructor provides structured feedback on role clarity, controls, reporting lines, and the feasibility of each participant's proposed interventions.

Day 1: The State as Owner and the SOE Governance Architecture

- Separation of ownership, regulation, policymaking, and operational management functions

Workshop: Participants map the governance architecture of a model state utility and produce an accountability map identifying role overlaps, missing controls, and escalation points.
Day 2: Boards, Committees, and Decision Rights

Day 4: Transparency, Integrity, and Stakeholder Accountability

- Financial reporting oversight, audit committee challenge, and external audit relationships

Day 5: Governance Reform and Implementation Planning

- Change management for boards, shareholder representatives, and executive teams
