Course overview

Board directors are increasingly expected to oversee sustainability with the same discipline applied to financial performance, safety, capital investment and enterprise risk. Investors, regulators, lenders, customers and employees now scrutinise whether boards understand climate exposure, human-rights impacts, HSE liabilities, supply-chain risk and the reliability of published sustainability information. Directors need to ask management precise questions, challenge assumptions constructively and evidence that sustainability risks and opportunities are governed through clear accountabilities, controls and decisions.

This course equips directors to design and oversee a board-level sustainability governance framework. Participants examine fiduciary duties, board committee mandates, materiality assessment, climate-risk oversight, human-rights due diligence, greenhouse-gas targets, ESG reporting controls and stakeholder escalation routes. They practise reading sustainability dashboards, testing management proposals, defining risk appetite and linking sustainability measures to strategy, remuneration, capital allocation and assurance. The course uses the GRI Standards, ESRS, IFRS S1 and IFRS S2, and the GHG Protocol to translate external expectations into practical board decisions.

Teaching combines director-focused briefings with governance case studies, committee simulations and facilitated challenge sessions. Participants work through a realistic board pack containing emissions data, safety indicators, supplier allegations, climate scenarios and draft disclosures. By the end of the week, each participant produces a Board Sustainability Oversight Action Plan: a practical document covering governance roles, committee terms of reference, priority information requests, dashboard indicators, reporting assurance actions and a 90-day implementation agenda. The course is especially valuable for directors joining sustainability, risk, audit, HSE or nomination and remuneration committees.

Requirements and prerequisites

Participants should have experience serving on a board, supporting a board or preparing executive-level risk, sustainability, HSE, finance or assurance reports. Familiarity with basic corporate governance concepts, enterprise risk management, greenhouse-gas emissions terminology and common ESG reporting language is assumed; participants should recognise terms such as materiality, Scope 1, 2 and 3 emissions, risk appetite and internal control. Prior technical expertise in climate modelling, life-cycle assessment, carbon accounting or assurance is not required. No specialist software skills are needed, although participants should be comfortable reviewing board papers, dashboards and spreadsheet-based performance data.

Training methodology

The programme is delivered through instructor-led board briefings, annotated board-paper reviews and facilitated discussion of current governance dilemmas. Participants analyse a cross-sector case involving climate exposure, safety performance, supply-chain labour allegations and draft ESG disclosures. Small groups operate as board committees, challenge a management team, revise a committee mandate and prioritise information requests. Practical exercises use sample dashboards, materiality matrices and assurance statements rather than abstract theory. The final session is an application workshop in which each participant completes and peer-tests a Board Sustainability Oversight Action Plan.
